Basic Function:

The Contract Manager is responsible for the management of all contracts and legal documents of the Corporation. The position reports to the Vice President of Finance and is instrumental in providing accurate and timely contract related decision support to company management and various organizational stakeholders.

Essential Duties and Responsibilities:

  • Develops and maintains a set of standard contracts for the Corporation
  • Leads complex contract negotiations and manages all changes in and addendums to existing contracts
  • Coordinates activities with outside counsel as necessary
  • Manages the flow of contract related documents between the Corporation and its business partners
  • Prepares requests for proposals for distribution to vendors
  • Analyzes all requirements and provisions in contracts, including terms and conditions, to ensure compliance with all laws and regulations and company policies and procedures
  • Ensures that contracts are executed in accordance with corporate guidelines
  • Conducts research as needed for contract work
  • Audits existing contracts and oversees contract modifications
  • Analyzes a contract’s risk to the business
  • Monitors the performance of each signed contract
  • Ensures that business goals are accomplished by contract implementation
  • Communicates contract implementations to stakeholders
  • Conducts analysis of new laws, regulations, and contract trends to determine potential impact on the business
  • Coordinates with the finance department to ensure correct billing and collection of contractual revenues
  • Ensures that contracts are in line with corporate goals and objectives
  • Identifies potential improvements to existing policies
  • Prepares reports on the status of contracts for management
  • Conducts special projects as assigned

Education and Experience:

10+ years of direct experience in contract management or development • Bachelor’s degree in Business with an emphasis or experience in business, transactional, or contract area; a Law degree or MBA with a similar emphasis or experience a plus • Certified Commercial Contracts Manager (CCCM) designation through the National Contract Management Association or similar recognized certification a plus

Work Environment:

Primarily in an office environment. This position may require day and/or overnight travel to other company facilities.
