Basic Function: 

Corporate Counsel is responsible for overseeing the legal aspects of the Corporation and providing accurate and timely counsel to management in a variety of legal topics. Corporate Counsel manages all contracts and legal documents of the Corporation.  The position reports to the Vice President of Finance and is instrumental in providing accurate and timely legal decision support to company management and various organizational stakeholders.

Essential Duties and Responsibilities:

  • Develops and maintains a set of standard contracts and legal documents for the Corporation
  • Organizes and maintains a filing system for legal documents of the Corporation
  • Leads complex contract negotiations and manages all modifications and addendums to existing contracts
  • Coordinates activities with outside counsel as necessary
  • Manages the flow and versioning of legal documents between the Corporation and its business partners
  • Prepares requests for proposals for distribution to vendors
  • Analyzes all requirements and provisions in contracts, including terms and conditions, to ensure compliance with all laws and regulations and company policies and procedures
  • Ensures that contracts are executed in accordance with corporate guidelines and in alignment with business goals
  • Applies effective risk management techniques and offers proactive advice on potential legal issues
  • Communicates contract implications to stakeholders and monitors the performance of executed contracts
  • Conducts analysis of new laws, regulations, contract trends, and unique issues to determine potential impact on the business
  • Ensures that legal documents are aligned with corporate goals and objectives
  • Provides training to Corporate employees on legal topics
  • Conducts special projects as assigned

Education and Experience:  

  • Juris Doctorate degree
  • BA or BS in Business Administration a plus
  • 8-10 years of direct experience in business and commercial law or contract management and development
  • Certified Commercial Contracts Manager (CCCM) designation through the National Contract Management Association or similar recognized certification a plus

Required Knowledge, Skills, and Abilities:

  • Excellent knowledge and understanding of corporate law and procedures
  • Full comprehension of the influences of the external environment of a corporation
  • Proven experience as a Legal Counsel in business environment a plus
  • Demonstrated ability to create legal defensive or proactive strategies
  • High degree of professional ethics and integrity
  • Sound judgement and ability to analyze situations and information
  • Outstanding communication skills
  • Possesses extensive knowledge in business and contract law
  • Ability to understand high level objectives while maintaining attention to detail
  • Ability to handle sensitive information in a confidential manner
  • Ability to prioritize and efficiently handle multiple tasks within deadlines

Work Environment: 

Primarily in an office environment.  This position may require day and/or overnight travel to other company facilities.
